(1) If an offence under this Ordinance by a body corporate is proved to have been committed with the consent or connivance of an officer of the body corporate, the officer also commits the offence and is liable to be proceeded against and punished accordingly.
(2) In this section—
“officer” (人員), of a body corporate, means—

(

) a director, manager, secretary or other similar officer of the body corporate;

(

) a person purporting to act in the capacity of a person referred to in paragraph (a); or

(

) if the affairs of the body corporate are managed by its members, a member of the body corporate who is concerned in the management of the body corporate.
